By downloading and using the Celebschat application (referred to as the "App"), you agree to be bound by these Terms & Conditions. If you do not agree to these Terms & Conditions, please do not use the App.

8. Virtual Currency (Coins)

Celebschat's virtual currency, known as "Coins", can be used to access features within the App. Users can obtain Coins either by purchase or by earning them (e.g., by watching third-party advertisements). Any transactions for purchasing Coins within the App will be processed securely and may involve third-party payment processors. Coins are non-refundable, lack any real-world monetary value, and cannot be exchanged outside of the App.

9. Third-Party Integrations

We use services provided by Firebase for database management, authentication, and other essential functionalities. Your data, including personal information and usage data, may be stored and processed by these third-party services to offer you a seamless experience with the App.

10. Data Sources and Attribution:

1.1. This application uses data and images from The Movie Database (TMDB). As per our terms of use, we are required to properly attribute TMDB as the source. Terms & Conditions

1. License

1.1. Subject to your compliance with these Terms & Conditions, Celebs Chat grants you a limited, non-exclusive, non-transferable, non-sublicensable license to download and install a copy of the App on a mobile device or computer that you own or control and to run such copy of the App solely for your own personal, non-commercial purposes.

1.2. You shall not (i) license, sublicense, sell, resell, transfer, assign, distribute, or otherwise commercially exploit or make available to any third party the App in any way; (ii) modify or make derivative works based upon the App; (iii) create Internet "links" to the App or "frame" or "mirror" any content on any other server or wireless or Internet-based device; (iv) reverse engineer or access the App in order to (a) build a competitive product or service, (b) build a product using similar ideas, features, functions, or graphics of the App, or (c) copy any ideas, features, functions, or graphics of the App; or (v) launch an automated program or script, including, but not limited to, web spiders, web crawlers, web robots, web ants, web indexers, bots, viruses, or worms, or any program which may make multiple server requests per second, or unduly burdens or hinders the operation and/or performance of the App.

2. Updates

Celebschat may from time to time in its sole discretion develop and provide App updates, which may include upgrades, bug fixes, patches, other error corrections, and/or new features (collectively, including related documentation, "Updates"). Updates may also modify or delete in their entirety certain features and functionality. You agree that Celebschat has no obligation to provide any Updates or to continue to provide or enable any particular features or functionality. Based on your mobile device settings, when your mobile device is connected to the internet, either (i) the App will automatically download and install all available Updates or (ii) you may receive notice of or be prompted to download and install available Updates. You shall promptly download and install all Updates and acknowledge and agree that the App or portions thereof may not properly operate should you fail to do so. You further agree that all Updates will be deemed part of the App and be subject to all terms and conditions of these Terms & Conditions.

3. Third-Party Materials

The App may display, include, or make available third-party content (including data, information, applications, and other products, services, and/or materials) or provide links to third-party websites or services, including through third-party advertising ("Third-Party Materials"). You acknowledge and agree that Celebschat is not responsible for Third-Party Materials, including their accuracy, completeness, timeliness, validity, copyright, legality, decency, quality, or any other aspect thereof. Celebschat does not assume and will not have any liability or responsibility to you or any other person or entity for any Third-Party Materials. Third-Party Materials and links thereto are provided solely as a convenience to you, and you access and use them entirely at your own risk and subject to such third parties' terms and conditions.

4. Term and Termination

4.1. The term of these Terms & Conditions commences when you download the App and will continue in effect until terminated by you or Celebschat as set forth in this Section 4.

4.2. You may terminate these Terms & Conditions by deleting the App and all copies thereof from your mobile device or computer.

4.3. Celebschat may terminate these Terms & Conditions at any time without notice if it ceases to support the App, which Celebschat may do in its sole discretion. In addition, these Terms & Conditions will terminate immediately and automatically without any notice if you violate any of the terms and conditions of these Terms & Conditions.

4.4. Upon termination: (i) all rights granted to you under these Terms & Conditions will also terminate; and (ii) you must cease all use of the App and delete all copies of the App from your mobile device and/or computer.

4.5. Termination will not limit any of Celebschat's rights or remedies at law or in equity.

5. Disclaimer of Warranties

THE APP IS PROVIDED TO LICENSEE "AS IS" AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, Celebschat, ON ITS OWN BEHALF AND ON BEHALF OF ITS AFFILIATES AND ITS AND THEIR RESPECTIVE LICENSORS AND SERVICE PROVIDERS, EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE APP, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE. WITHOUT LIMITATION TO THE FOREGOING, Celebschat PROVIDES NO WARRANTY OR UNDERTAKING, AND MAKES NO REPRESENTATION OF ANY KIND THAT THE APP WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY INTENDED RESULTS, BE COMPATIBLE, OR WORK WITH ANY OTHER SOFTWARE, APPLICATIONS, SYSTEMS, OR SERVICES, OPERATE WITHOUT INTERRUPTION, MEET ANY PERFORMANCE OR RELIABILITY STANDARDS, OR BE ERROR-FREE, OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL Celebschat OR ITS AFFILIATES, OR ANY OF ITS OR THEIR RESPECTIVE LICENSORS OR SERVICE PROVIDERS, HAVE ANY LIABILITY ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP OR THE CONTENT AND SERVICES FOR:

(i) PERSONAL INJURY, PROPERTY DAMAGE, LOST PROFITS, COST OF SUBSTITUTE GOODS OR SERVICES, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, OR ANY OTHER CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES.

(ii) DIRECT DAMAGES IN AMOUNTS THAT IN THE AGGREGATE EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE APP.

THE FOREGOING LIMITATIONS WILL APPLY WHETHER SUCH DAMAGES ARISE OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE AND REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR Celebschat WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY SO SOME OR ALL OF THE ABOVE LIMITATIONS OF LIABILITY MAY NOT APPLY TO YOU.

7. Indemnification

You agree to indemnify, defend, and hold harmless Celebschat and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including attorneys' fees, arising from or relating to your use or misuse of the App or your breach of these Terms & Conditions, including but not limited to the content you submit or make available through the App.

8. Virtual Currency (Coins)

8.1. Acquisition: Users can acquire Coins by purchasing or earning them through engagement such as watching advertisements within the App.

8.2. Use: Coins can be used within the App to gain access to premium features.

8.3. Purchase: Purchasing Coins provides a limited license to use the Coins within the App for accessing features.

8.4. No Monetary Value: Coins are not real money and cannot be redeemed for real currency or tangible goods.

8.5. Non-refundable: Coin purchases are final and non-refundable. Coin usage to access features can change at any time at Celebschat's discretion.

8.6. Expiry and Transfer: Coins may expire if not used within a certain period. Coins are non-transferable and cannot be exchanged between users or accounts.

8.7. Service Interruption: Celebschat reserves the right to modify, suspend, or discontinue the virtual currency system at any time without prior notice or liability.

8.8 In-App Purchases

Celebschat may offer in-app purchases within the App, including the acquisition of virtual currency ("Coins") and other in-app goods or services.

Payment and Billing Information: By providing a credit card or other payment method accepted by Celebschat, you represent and warrant that you are authorized to use the designated payment method and that you authorize us (or our third-party payment processor) to charge your payment method for the total amount of your purchase (including any applicable taxes and other charges).

Automatic Renewal: If the in-app purchase is subject to automatic renewal, you will be notified prior to the purchase. By proceeding with such in-app purchases, you accept that they may renew automatically. You may turn off auto-renewal at any time from your account settings.

Refunds: All purchases are subject to the policies of the respective payment platform (e.g., Apple App Store, Google Play) from which you make the purchase. Celebschat does not handle refunds directly, as these are managed by the payment platform provider. In the event that Celebschat needs to issue a refund, it will be done using the original method of payment wherever possible.

Pricing: Celebschat reserves the right to determine pricing for the in-app purchases. We will make reasonable efforts to keep pricing information published on the platform up to date. We encourage you to check our platform periodically for current pricing information.

Price Changes: Celebschat may change the price for in-app purchases at any time, and does not provide price protection or refunds in the event of a price reduction or promotional offering.

No Ownership Rights: Purchases of virtual currency or any in-app goods or services do not confer any ownership rights. Such in-app goods or services, including Coins, can be managed or removed by Celebschat at any time without liability to you.

Errors: In the event of an error in the price or payment process, Celebschat reserves the right to correct the error and revise your purchase accordingly (which may include charging the correct price) or to cancel the purchase and refund any amount received.

By making in-app purchases, you agree to be bound by the Terms & Conditions of the App, including this In-App Purchases section.

9. Sign-in Options

You may choose to sign in to the App using your Gmail account. By doing so, you authorize us to access certain Gmail account information and manage your sign-in process via Firebase Authentication.

10. Export Regulation

The App may be subject to US export control laws, including the US Export Administration Act and its associated regulations. You shall not, directly or indirectly, export, re-export, or release the App to, or make the App accessible from, any jurisdiction or country to which export, re-export, or release is prohibited by law, rule, or regulation. You shall comply with all applicable federal laws, regulations, and rules, and complete all required undertakings (including obtaining any necessary export license or other governmental approval), prior to exporting, re-exporting, releasing, or otherwise making the App available outside the US.

11. US Government Rights

The App is commercial computer software, as such term is defined in 48 C.F.R. §2.101. Accordingly, if you are an agency of the US Government or any contractor therefor, you receive only those rights with respect to the App as are granted to all other end users under license, in accordance with (a) 48 C.F.R. §227.7201 through 48 C.F.R. §227.7204, with respect to the Department of Defense and their contractors, or (b) 48 C.F.R. §12.212, with respect to all other US Government licensees and their contractors.

12. Severability

If any provision of these Terms & Conditions is illegal or unenforceable under applicable law, the remainder of the provision will be amended to achieve as closely as possible the effect of the original term and all other provisions of these Terms & Conditions will continue in full force and effect.

13. Governing Law

These Terms & Conditions are governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule.

14. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms & Conditions or the breach, termination, enforcement, interpretation, or validity thereof or the use of the App (collectively, "Disputes") will be settled solely by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association ("AAA"). The arbitration will be conducted in San Francisco, California, USA, by a single arbitrator appointed in accordance with the AAA rules. The arbitrator's decision will follow these Terms & Conditions and will be final and binding. The arbitrator will have authority to award temporary, interim, or permanent injunctive relief or relief providing for specific performance of these Terms & Conditions, but only to the extent necessary to provide relief warranted by the individual claim before the arbitrator. The award rendered by the arbitrator may be confirmed and enforced in any court having jurisdiction thereof. Notwithstanding the foregoing, either party will have the right to seek injunctive or other equitable relief in state or federal court located in San Francisco, California, USA, to enforce these Terms & Conditions or prevent an infringement of a third party's rights. In the event equitable relief is sought, each party hereby irrevocably submits to the personal jurisdiction of such court.

15. Assignment

You may not assign, transfer, or sublicense any or all of your rights or obligations under these Terms & Conditions without our express prior written consent. We may assign, transfer, or sublicense any or all of our rights or obligations under these Terms & Conditions without restriction. These Terms & Conditions are binding upon and will inure to the benefit of both parties and their respective successors, heirs, executors, administrators, personal representatives, and permitted assigns.

16. Entire Agreement

These Terms & Conditions and our Privacy Policy constitute the entire agreement between you and Celebschat with respect to the App and supersede all prior or contemporaneous understandings and agreements, whether written or oral, with respect to the App.

17. Waiver

No failure to exercise, and no delay in exercising, on the part of either party, any right or any power hereunder will operate as a waiver thereof, nor will any single or partial exercise of any right or power hereunder preclude further exercise of that or any other right hereunder. In the event of a conflict between these Terms & Conditions and any applicable purchase or other terms, the terms of these Terms & Conditions will govern.
